PointStar Independence: A Critical CORRA Factor

Because the Assessment, to be fully valid, needs to be conducted by a team that is completely independent of the company being assessed and its advisors, it is not appropriate for the team or the entities providing the Assessors to provide post-Assessment consulting services to the company to help it address any areas of concern that are identified. It may be, however, that some CORRA team follow-up activities will be needed to assure that all areas of concern have been completely addressed. In addition, the Board may determine that periodic Assessments should be conducted in the future.

The Assessment team will recommend changes and follow-up actions based upon its findings and the nature of the company. The Board will be free to adopt or revise the follow-up plan as it sees fit. In order to assure the independence of its analysis, PointStar and its Assessment Team members will not provide any consulting services to the company during or for a period of 2 years after the last CORRA activity. Though it will not provide consulting services related to any action plans arising from the CORRA findings, the team will be available for meetings with Management, the Board, or Company-retained consultants should any of them need to gain a deeper understanding of the findings and recommendations in order to develop effective solutions and actions plans for addressing them.
